This Fair Usage Policy (“Policy”) forms part of the Master Subscription Agreement (“Agreement”) between Hebbia Inc. (“Hebbia”) and Customer. The purpose of this Policy is to ensure fair, reasonable, and intended use of licensed seats under Hebbia’s Core User licensing model (“Core User License”) and to ensure consistent performance and fair access for all Hebbia customers.
Purpose of the Core User License A Core User License is intended to be assigned to a single, named individual who actively uses Hebbia’s platform to perform ongoing and material work as part of their regular job duties. It is not intended to serve as a shared, pooled, or service account for multiple individuals or departments. It is also not intended for high-volume automation, batch processing, or resale of outputs without Hebbia’s prior written consent.
Fair Usage Usage is considered fair when it aligns with the size and scope of Customer’s business, as agreed during onboarding. Excessive and/or abusive use may lead to temporary throttling, suspension, or the need to upgrade to a higher-tier plan.
Prohibited Practices The following uses are expressly prohibited and will be automatically deemed violations of this Policy:
Seat Consolidation: Using a single Core User License to perform the duties of multiple individuals and/or functional roles in a way that in Hebbia’s discretion would require additional licenses. Rotating Users: Frequently reassigning or “hot-swapping” Core User Licenses among different individuals to avoid purchasing additional seats. Automation to Bypass Licensing: Using scripts, bots, or other automated processes under a single license to simulate multiple users or excessive workflows beyond the expected use of a single user. Delegation at Scale: One user acting on behalf of a team or department to manage large volumes of data, workflows, or approvals that would ordinarily be distributed across multiple licensed users. Excessive Use: If, in Hebbia’s judgment, Customer’s usage materially exceeds the usage of similarly situated, or otherwise negatively impacts the performance or availability of our services for others, or massively exceeds the usage for the size and scope of Customer’s business.
- Enforcement Hebbia reserves the right to monitor usage patterns and audit Customer accounts to ensure compliance with this Policy. If Hebbia determines, in its reasonable discretion, that the Customer is in violation of this Policy:
Hebbia will notify Customer and provide 10 business days to cure the non-compliance; If not remedied within such time period, Hebbia may require the purchase of additional Core User Licenses to reflect actual usage; and/or In cases of material or repeated violations, Hebbia may suspend or terminate access to the Hebbia platform.
Nothing in this section shall limit Hebbia’s ability to temporarily throttle or suspend usage that is excessive, abusive, or may hurt the ability of others to use the Hebbia platform.
Updates to Policy The Company reserves the right to update or modify this Policy from time to time. Continued use of the Platform after changes to the Policy constitute acceptance of the updated terms.
Custom Use Cases If Customer anticipates unusually high or specialized use, Hebbia is happy to discuss a custom plan that fits Customer’s needs.
